Terms of Service

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.

Everyside is an AI-assisted marketing platform. Once you set up a brand profile — either by pointing Everyside at your website for automated analysis or by entering the details yourself — the Service can: generate multi-platform marketing content and accompanying images, including text overlays rendered in both English and Arabic, grounded in that brand profile; route generated content through a review workflow so a person on your team approves, edits, or rejects it before anything is scheduled; schedule and publish approved content to social accounts you connect, through third-party publishing aggregators; analyze publicly available competitor data to produce discovery and gap-analysis reports; surface trend signals relevant to your brand; and, where you choose to enable it, assist with paid advertising campaigns on ad accounts you connect and explicitly approve spend for.

Everyside is a tool that assists your marketing work — it does not replace your judgment. Publishing and paid-ad spend in particular are designed to require your explicit approval before either takes an action with a real-world effect.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it up to date, and to notify us promptly of any unauthorized use of your account.

Certain features will require a paid subscription. Plans, pricing, and billing cycles are not yet published, and nothing on this site is an offer to sell or a commitment to a price. The terms presented to you at checkout, if and when you choose to subscribe, will govern that subscription. Unless stated otherwise, subscriptions automatically renew at the end of each billing period until cancelled.

Payments are processed by our third-party payment processor; we do not store your full card details ourselves. You authorize us to charge your chosen payment method on a recurring basis for as long as your subscription remains active. You may cancel at any time from your account settings; cancellation takes effect at the end of your current billing period, and you keep access to paid features until then. Cancelling does not entitle you to a prorated refund for the remainder of an already-paid period, except where required by law. If a payment fails, we may suspend access to paid features until it is resolved. A free or trial tier, where offered, is subject to usage quotas (for example, on AI generations or images per period), which we may change with notice.

"Your Content" means the brand information, website URLs, text, images, competitor lists, connected-account information, and any other material you submit to the Service, together with the drafts, plans, and media the Service generates from it for your workspace. As between you and Everyside, you retain all ownership rights in Your Content.

You grant Everyside a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and analyze Your Content solely as necessary to provide, maintain, secure, and improve the Service for you — including, as described in our Privacy Policy, using your brand and content data to power the Service's own AI generation, image, competitor-analysis, and trend features for your workspace. You represent that you have the necessary rights to submit Your Content and that doing so, and our processing of it as described in these Terms, does not violate a third party's rights or any law.

Content, images, plans, and analyses the Service generates ("AI Output") are produced by machine-learning models based on Your Content and are provided as a starting point — not a guarantee of accuracy, availability, brand fit, or fitness for any particular purpose. You are solely responsible for reviewing AI Output before it is approved, scheduled, or published — this is why the Service's review workflow requires an explicit approval action before content moves to scheduling or publishing, and why paid-ad spend requires an explicit approval action before any campaign goes live. Everyside is not responsible for consequences arising from AI Output that you approve and publish, or spend against, without adequate review.

To schedule or publish content, or to run ad campaigns, you may connect third-party accounts (social media accounts, advertising accounts) to the Service, including through third-party publishing-aggregator providers. By connecting an account, you authorize Everyside and its publishing/advertising partners to take the actions you configure — such as posting approved content or spending against an approved ad budget — on your behalf, subject to the approval and quota controls described in Section 2. You remain responsible for complying with the terms of service and content policies of every third-party platform you connect, and for the content and campaigns you approve for publication on them. We are not responsible for the availability, policies, or actions of third-party platforms, including account suspensions, API changes, or publishing failures outside our control.

You agree not to use the Service to:

• generate, publish, or distribute content that is illegal, infringing, defamatory, or that violates a third party's intellectual property or privacy rights;
• attempt to circumvent the Service's approval gates, quotas, or rate limits;
• probe, scan, or attempt to breach the security of the Service;
• reverse-engineer or attempt to extract the underlying models, prompts, or source code of the Service, except to the extent applicable law prohibits this restriction;
• use the Service to build a competing product; or
• resell or provide the Service to third parties without our written consent.

We may suspend or terminate accounts that violate this section.

Everyside and its licensors retain all right, title, and interest in and to the Service itself — its software, models, design, trademarks, and documentation — excluding Your Content and AI Output generated for your workspace. Subject to Sections 5 and 6, AI Output generated for your workspace based on Your Content is yours to use for your business purposes once you approve it. We reserve all rights not expressly granted in these Terms.

The Service relies on third-party providers to operate, including database and authentication infrastructure, large-language-model and image-generation providers, publishing aggregators, a payment processor, and cloud hosting providers. Our Privacy Policy describes the categories of processors we use in more detail. Your use of the Service is also subject to the applicable terms of those providers where you interact with them directly — for example, when authorizing a connected social or ad account.

We may modify, suspend, or discontinue any part of the Service, including individual features, at any time. We will make reasonable efforts to notify you of material changes that affect paid functionality you rely on. We do not guarantee uninterrupted or error-free operation of the Service.

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, BRAND-APPROPRIATE, OR ERROR-FREE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR OPERATE UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERYSIDE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

You agree to indemnify and hold Everyside harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: Your Content; AI Output you approve, publish, or spend against; your breach of these Terms; or your violation of a third party's rights.

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or for non-payment, generally after notice and a reasonable opportunity to cure where practical. Sections that by their nature should survive termination — including Sections 5, 6, 9, 12, 13, 14, and 16 — will survive.

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws principles, and disputes arising from them are subject to the exclusive jurisdiction of the competent courts of Egypt. Placeholder jurisdiction: this clause is provisional pending confirmation of Everyside's registered legal entity and a qualified lawyer's review.

We may update these Terms from time to time. If we make material changes, we will provide notice — for example, by email or an in-product notice — before the changes take effect. Continuing to use the Service after changes take effect constitutes acceptance of the updated Terms.
